Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Mononio AI Corporation, a Delaware corporation ("Mononio," "we," "us," or "our"), governing your access to and use of the Mononio AI platform ("Service") at mononio.ai and any associated applications, APIs, or services.

By creating an account, accessing the Service, or clicking "I agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.

If you are accessing the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Account Creation

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to create an account. The Service is intended for business use only and is not directed at consumers for personal use.

2.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.3 One Account Per User

Each user may maintain only one account. Creating multiple accounts to circumvent usage limits or policies is prohibited and grounds for immediate termination.

2.4 Security

You agree to notify us immediately at support@mononio.ai of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access to your account.

3. Plans & Pricing

Mononio offers the following service tiers:

3.1 Billing

Recurring subscriptions are billed monthly in advance on the anniversary of your subscription start date. All fees are in US Dollars. Payments are processed by our third-party payment processor (Stripe). You authorize us to charge your payment method on file for all applicable fees.

3.2 Refunds

Monthly subscription fees are non-refundable except as required by applicable law. If you cancel your Battalion subscription, you retain access through the end of your current billing period. The Founder License is non-refundable after the 7-day period following purchase.

3.3 Price Changes

We reserve the right to modify our pricing. For active subscriptions, we will provide at least 30 days' notice before any price change takes effect.

3.4 Taxes

Prices do not include applicable taxes. You are responsible for all taxes, duties, and similar charges imposed on your use of the Service, except for taxes on our income.

4. Acceptable Use

You agree to use the Service only for lawful business marketing purposes and in accordance with these Terms. You agree not to:

• Use the Service to create, distribute, or promote content that is illegal, harmful, deceptive, harassing, defamatory, or obscene
• Run advertising campaigns that violate the policies of Meta, Google, TikTok, or any connected advertising platform
• Engage in spamming, phishing, or any form of unsolicited commercial communications
• Use the Service to collect or harvest personal data without proper consent or legal basis
• Circumvent, disable, or interfere with security features of the Service
• Use automated tools to scrape, crawl, or extract data from the Service in ways not permitted by these Terms
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicense, or transfer your access rights to the Service to any third party without our written consent
• Use the Service in a manner that could impair, overburden, or damage our infrastructure
• Violate any applicable law, regulation, or third-party rights

5. AI-Generated Content & Ownership

5.1 Content You Provide

You retain all rights to any content, data, brand assets, or materials you upload to or provide through the Service ("Input"). By submitting Input, you grant Mononio a limited, non-exclusive license to process, analyze, and use that Input solely to provide the Service to you.

5.2 AI-Generated Output

Subject to your compliance with these Terms and payment of applicable fees, Mononio assigns to you all rights, title, and interest in AI-generated content produced by the Service in response to your Input ("Output"), to the extent such rights can be assigned under applicable law.

5.3 AI Limitations & Accuracy

AI-generated content may contain inaccuracies, errors, or outputs that are not suitable for your specific use case. You are solely responsible for reviewing, editing, and approving all AI-generated content before publication. Mononio makes no warranty that AI-generated content will be accurate, appropriate, or compliant with advertising regulations.

5.4 Third-Party IP

You must not use the Service to generate content that infringes third-party intellectual property rights. You are responsible for ensuring that Output does not violate any applicable copyright, trademark, or other IP laws before use.

5.5 Platform Compliance

You are solely responsible for ensuring that AI-generated advertising content complies with the policies of Meta, Google, TikTok, and any other advertising platform on which you publish content.

6. API Keys & Credentials

6.1 User-Provided Credentials

To access certain features, you may provide API keys, ad account credentials, OAuth tokens, or other authentication credentials for third-party services ("Credentials"). You represent and warrant that:

• You have the authority to provide such Credentials and to authorize Mononio to use them on your behalf
• Your provision and use of Credentials complies with all applicable third-party terms of service
• You will promptly notify us if any Credentials are compromised or revoked

6.2 Security of Credentials

We store Credentials using industry-standard encryption (AES-256-GCM). However, you acknowledge that no system is completely secure. You are solely responsible for the activity performed by Mononio using your Credentials. If you believe your Credentials have been compromised, revoke them immediately at the source and notify us.

6.3 Liability for Credential Use

Mononio is not responsible for any charges, penalties, account suspensions, or other consequences arising from your ad accounts or third-party API accounts as a result of campaigns run through the Service. Ad spend is charged directly to your connected ad accounts.

7. Third-Party Integrations

The Service integrates with third-party platforms and AI providers. Your use of these integrations is subject to the respective third-party terms of service:

Mononio is not responsible for the availability, accuracy, or performance of any third-party platform or service. Changes to third-party APIs or policies may affect the functionality of our Service without notice.

8. API Usage Limits

Your plan includes defined usage limits for AI operations, API calls, campaign automation, and data processing. Usage limits vary by plan tier:

• Founder License: Core platform access with standard usage caps as defined in your plan documentation
• Battalion: Expanded usage limits across all features with priority processing

If you exceed your plan's usage limits, we may: (a) throttle your access, (b) notify you and offer an upgrade, or (c) charge overage fees as detailed in your plan documentation. We will make reasonable efforts to notify you before throttling or charging overages.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period for monthly subscriptions.

9.2 Termination by Mononio

We may suspend or terminate your account immediately, without prior notice, if:

• You materially breach these Terms
• You engage in fraudulent, abusive, or illegal activity
• Continued access poses a security risk to us or other users
• Required by law or court order
• We discontinue the Service

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, after which it will be deleted in accordance with our data retention policies. You may request a data export within this 30-day window.

9.4 Survival

Sections on AI-Generated Content, Limitation of Liability, Indemnification, and Governing Law survive termination.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MONONIO AI CORPORATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Advertising spend charges, campaign performance losses, or ad account penalties
• Damages arising from AI-generated content used in advertising
• Third-party platform bans, suspensions, or policy violations

10.3 Cap on Liability

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MONONIO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

10.4 Essential Basis

The limitations in this section reflect a reasonable allocation of risk and are an essential basis of the bargain between the parties. Mononio would not be able to provide the Service on the terms offered without these limitations.

11. Indemnification

You agree to indemnify, defend, and hold harmless Mononio AI Corporation and its officers, directors, employees, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service in violation of these Terms
• Content you upload to or generate through the Service
• Your advertising campaigns and their compliance with applicable laws and platform policies
• Your violation of any third-party rights, including intellectual property rights
• Your provision or use of API keys, ad account credentials, or other third-party credentials

12. Governing Law & Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

12.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@mononio.ai and attempt to resolve the dispute informally for at least 30 days.

12.3 Arbitration

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.4 Class Action Waiver

YOU AND MONONIO EACH AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12.5 Exceptions

Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or unauthorized access to the Service.

13. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or in-app notification. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
